Public Offer Agreement — Art Focus Studio

PUBLIC OFFER AGREEMENT

1. General Provisions and Definitions

1.1. This Agreement is a public contract (hereinafter — the Offer) pursuant to Articles 633 and 641 of the Civil Code of Ukraine and constitutes a public offer by the Contractor to enter into a service agreement for photography services, the terms of which are set forth in this Offer and published on the website artfocus-studio.kyiv.ua (hereinafter — the Website).

1.2. Acceptance of this Offer by the Customer (an individual or legal entity seeking to receive the Services) is performed by one of the following actions:

placing an order on the Website;
making a prepayment or full payment for the Services.

1.3. Contractor — Sole Proprietor HRYTSAK OLEKSANDR PETROVYCH, acting under the laws of Ukraine.

1.4. Services — product photography services, including photography on a transparent mannequin, provided by the Contractor to the Customer under the terms of this Agreement.

1.5. Order — the Customer’s request containing the list, scope, and cost of Services.

2. Subject of the Agreement

2.1. The Contractor undertakes to provide the Customer with photography services, and the Customer undertakes to accept and pay for them.

2.2. Specific details are defined in the Service Package or individual Order.

3. Rights and Obligations of the Parties

Contractor’s Obligations:

Provide the Services in a timely and high-quality manner;
Maintain commercial confidentiality;
Deliver the results within the agreed timeframe.

Customer’s Obligations:

Provide the items for shooting and accurate information;
Make payments on time;
Accept the results of the Services.

Contractor’s Rights:

Receive payment for the Services rendered;
Refuse to provide Services if the Customer fails to fulfill obligations;
Use sample photos in the portfolio (unless otherwise agreed in writing).

Customer’s Rights:

Receive Services of proper quality;
Request correction of deficiencies;
Receive the results within the agreed timeframe.

4. Cost of Services and Payment Procedure

4.1. The cost is determined according to the price list on the Website or by individual calculation.

4.2. Payments are made in Ukrainian hryvnia by bank transfer or online payment.

4.3. A prepayment of 50% of the total cost is required. The remaining amount is paid before delivery of the results.

4.4. If the Customer cancels the Services less than 2 days before the scheduled shooting date, the prepayment is non-refundable.

5. Procedure for Acceptance and Delivery of Services

5.1. The results are digital photo materials delivered via file-sharing service FEX.NET.

5.2. Delivery time — up to 5 days after full payment.

5.3. If no objections are received within 3 days after delivery, the Services are deemed accepted.

6. Copyright

6.1. Economic rights are transferred to the Customer after full payment.

6.2. Moral (non-economic) rights remain with the Contractor.

6.3. The Contractor may use the photos in the portfolio unless otherwise agreed in writing.

7. Liability and Dispute Resolution

7.1. The Parties are liable in accordance with the applicable laws of Ukraine.

7.2. Any disputes shall be resolved through negotiation or in court at the Contractor’s location.

8. Other Terms

8.1. This Agreement comes into force upon acceptance by the Customer.

8.2. The Contractor may amend the terms by publishing updates on the Website.

8.3. The Customer agrees to the processing of personal data in accordance with the Law of Ukraine “On Personal Data Protection.”
